General Terms & Conditions of Purchase

These General Terms & Conditions (“Terms”) apply to all purchases of signage, services, fabrication, delivery, permitting, and installation services (“Work”) provided by Seller/Contractor (“Seller”) to the customer (“Customer”). Approval of any estimate, proposal, invoice, or payment of any deposit constitutes acceptance of these Terms.

1. Electrical Requirements & Site Conditions

All illuminated and electric signs require a dedicated, code-compliant 120-volt / 20-amp sign circuit in accordance with the National Electrical Code (NEC). Such electrical service is typically part of the building’s original construction and is the responsibility of the property owner.

Electronic Message Center (EMC) and digital signs may require upgraded electrical service, higher capacity circuits, or additional electrical components. Any electrical deficiencies, code violations, repairs, upgrades, or additional circuits required at the sign location are not included unless expressly stated in writing and are the responsibility of the Customer.

If requested and/or at Seller’s discretion—subject to scheduling, access, and site conditions—Seller may perform or coordinate corrective electrical work as a convenience to the Customer. Any such work shall be billed at fair market rates and invoiced separately, not to exceed 5% of the total contract value without Customer approval. 

Pricing assumes electrical access is within six (6) feet of the sign location, without obstruction, and that site conditions match those observed during the site survey. Changes to site conditions, including new obstructions or materials not present during the survey, may result in additional charges billed at fair market rates to avoid installation delays. Site surveys are performed whenever possible, but certain conditions not allowing for timely site surveys exist – in which case the estimate provided is based on adequate electric and site access.

2. Existing Structures, Property & Third-Party Conditions

Seller will exercise reasonable care while working on Customer property but is not responsible for the condition of existing structures, wiring, foundations, signage, or materials not supplied by Seller.

Customer acknowledges that removal, relocation, or reuse of existing components may result in damage and releases Seller from responsibility for their condition. Issues arising from pre-existing or third-party components—including structural, electrical, or environmental conditions—remain the responsibility of the Customer.

If existing conditions prevent proper installation or operation of the sign, Customer is responsible for correcting such conditions without delay. Seller may offer corrective work at fair market rates. If Customer refuses required repairs, Customer remains responsible for payment in full for all custom products ordered, even if installation cannot be completed.

3. Custom Production & Delays

All signs, fixtures, and fabricated components are custom-made to order. All sales are final and non-refundable unless approved in writing by Seller.

Any production or completion timelines provided are estimates only. Seller is not responsible for delays caused by supply chain issues, material shortages, tariffs, shipping delays, weather, natural disasters, strikes, permitting delays, or other circumstances beyond Seller’s control. Seller will make reasonable efforts to communicate delays and mitigate impacts where possible.

4. Permits & Approvals

Unless otherwise agreed in writing, Seller shall prepare and submit sign permit applications. Customer and/or property owner must provide all required documentation, approvals, and signatures in a timely manner.

Customer is responsible for all permit-related costs, including permit fees, engineering, acquisition fees, extensions, and related expenses. Permits will not be closed until all balances are paid in full.

Seller is not responsible for permit denial but will make reasonable efforts to obtain approval. Seller may, at its discretion, commence production prior to permit approval unless otherwise instructed in writing by Customer.

5. Payments, Fees & Pricing

Quoted pricing does not include payment processing fees. Accepted payment methods include check, ACH, cash, and wire transfer. Credit card payments are subject to a 3.5% processing fee charged by the processor.

Labor estimates are valid for thirty (30) days unless stated otherwise. Due to market volatility, material pricing—especially aluminum and imported components—may change without notice on custom orders.

Payment Schedule

  • Standard Signage, Production & Services: 
    • 50% deposit to commence project
    • 50% due upon delivery or installation
  • Watchfire EMC Projects:
    • 50% deposit to commence project
    • 25% due upon fabrication completion (prior to installation)
    • 25% due upon installation or delivery
  • Municipal Contracts with PO may be eligible for other approved payment schedules
  • Finance / Lease: Terms vary per individual/entity

Above terms to prevail unless other arrangements have been made and approved in writing. Deposit payment due immediately upon project approval. All payments due immediately upon progress outlined, including delivery/installation. Late balances may incur interest at the maximum rate allowed under Florida law.

6. Ownership, Risk of Loss & Non-Payment

Title to all signage and components remains with Seller until paid in full. Materials are typically delivered for municipal projects (and others at Seller’s discretion) prior to installation. If materials are delivered prior to installation (including for tax-exempt customers), risk of loss transfers to Customer upon delivery. Seller reserves the right to repossess signage or components for non-payment exceeding sixty (60) days. Seller may file construction or mechanics liens for unpaid balances exceeding ninety (90) days.

7. Warranties

Seller warrants that workmanship and products supplied will conform to the approved specifications and be free from manufacturer defects for the period stated in the estimate. Reference Warranty Statement Below.

8. Service Calls & Non-Warranty Work

If Seller is requested to troubleshoot or service signage and the issue is not due to Seller’s workmanship or supplied products, Customer agrees to pay Seller’s standard service call and labor rates.

9. Training & Support

Watchfire EMC signage includes lifetime manufacturer software training. Seller will provide reasonable phone support and training for non-Watchfire digital signage for up to five (5) years, subject to manufacturer software availability.

10. Site Access, Traffic & Safety

Customer must provide clear, safe access to installation areas, including parking, staging, and equipment operation zones. Installation may require temporary closure of parking areas, drive-thrus, or access points.

Delays caused by site obstructions, lack of access, or third-party interference may result in additional charges. If third-party traffic control or parking coordination is required, costs will be billed to Customer.

11. Entire Agreement

These Terms, together with the approved estimate or invoice, constitute the entire agreement between the parties. No verbal agreements or representations shall be binding unless confirmed in writing by Seller. This Agreement shall be governed by Florida law, and exclusive venue for any dispute shall be Lee County, Florida. Customer acknowledges that these Terms apply to all signs, services, fabrication, permitting, delivery, and installation provided by Seller unless expressly modified in writing and signed by Seller.

Warranty Statement:

Warranty coverage applies exclusively to products sold by Sign On, LLC. Labor or service performed on customer-supplied or third-party equipment is provided “as-is” with no warranty or guarantee of performance, longevity, or compatibility.

LED – Internally Illuminated Signage

(Channel Letters, Lightbox Signs, Cabinet Signs, and Similar Products). For signs ordered on or after January 1, 2026.

Sign On, LLC provides a five (5) year limited warranty on LED-internally illuminated signage we sell direct or sell with installation. Warranties:

  • LED components carry a 5-year manufacturer’s warranty
  • Service / labor warranty: 3 years, unless otherwise stated in the estimate or invoice
  • Warranty coverage applies to manufacturer defects in materials or workmanship only

Electronic Message Center (EMC) / LED Display Warranty

Watchfire® Brand EMC Signs

  • 5 years parts and labor (when installed by Seller)
  • 10-year parts availability guarantee
    • Even after warranty expiration, Watchfire guarantees replacement parts availability for at least 10 years from original purchase date

CapeLED™ Brand EMC Signs

  • 3 years parts warranty
  • 2 years labor warranty

Used / Demo EMC Signs

  • Warranty commences on the date of fabrication, unless otherwise stated
  • Estimate or invoice terms shall prevail if different warranty terms are listed

Service & Workmanship Warranty

All service work performed by Seller carries a minimum one (1) year warranty on workmanship, unless otherwise stated in writing on the estimate, invoice or in this statement.

This warranty applies to:

  • Installation labor
  • Repairs performed by Seller
  • Modifications completed by Seller

General Warranty Terms

  • Warranty service is valid only for signs installed and serviced by Seller, unless otherwise agreed in writing
  • Proof of purchase may be required
  • Seller reserves the right to repair or replace components at its discretion
  • Seller will assist with manufacturer warranty coordination when applicable but cannot guarantee third-party response times or outcomes.
  • Warranty does not include removal, reinstallation, permitting, or access equipment unless explicitly stated.

General Warranty Exclusions

This warranty does not cover:

  • Third-party interference or damage
  • Acts of God (including but not limited to hurricanes, flooding, lightning, or fire)
  • Power surges or electrical supply issues not caused by Seller
  • Normal wear and tear, fading, or cosmetic aging
  • Damage due to misuse, abuse, neglect, or unauthorized modification
 

 

 

 

Warranty for Signs Purchased On or Before:

December 31, 2024 (see Below) 

Warranty coverage applies exclusively to products sold by Sign On, LLC. Labor or service performed on customer-supplied or third-party equipment is provided “as-is” with no warranty or guarantee of performance, longevity, or compatibility.

 

  • Sign On, LLC provides a three (3) year limited warranty on LED-internally illuminated signage we manufacture and/or install.
    • LED components carry a 3-year manufacturer’s warranty
    • Other components, Service / Labor warranty: 2 years, unless otherwise stated in the estimate or invoice
    • Warranty coverage applies to manufacturer defects in materials or workmanship only

    Exclusions

    This warranty does not cover:

    • Third-party interference or damage
    • Acts of God (including but not limited to hurricanes, flooding, lightning, or fire)
    • Power surges or electrical supply issues not caused by Seller
    • Normal wear and tear, fading, or cosmetic aging
    • Damage due to misuse, abuse, neglect, or unauthorized modification

Service & Workmanship Warranty

All service work performed by Seller carries a minimum one (1) year warranty on workmanship, unless otherwise stated in writing on the estimate, invoice or in this statement.
